1. Acceptance of Terms

By accessing or using the services provided by Dassale Agency Corp ("we," "our," or "us"), located at 120 NE 4th St Fort Lauderdale Florida, 33301, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Dassale Agency Corp regarding your use of our website, products, and services (collectively, the "Services").

2. Description of Services

Dassale Agency Corp provides digital marketing services, including but not limited to search engine optimization (SEO), search engine marketing (SEM), social media marketing, email marketing, content creation, and other related digital marketing services.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you have the legal capacity to enter into a binding agreement with us and that you are at least 18 years old.

If you are using our Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Client Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

5. Fees and Payment

The fees for our Services are set forth in the service agreement or proposal provided to you. All fees are quoted in US dollars and are non-refundable unless otherwise specified in writing.

You agree to pay all fees associated with the Services in accordance with the payment terms specified in your service agreement. We reserve the right to change our fees at any time, but any changes will not affect your current service agreement.

If you fail to make any payment when due, we reserve the right to suspend or terminate your access to the Services.

6. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Dassale Agency Corp or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

7. Client Content

You retain all ownership rights to any content you provide to us for use in connection with the Services ("Client Content"). By providing Client Content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Client Content in connection with providing the Services to you.

You represent and warrant that: (i) you own or control all rights in and to the Client Content; (ii) the Client Content does not violate any third party's rights, including intellectual property rights and privacy rights; and (iii) the Client Content complies with all applicable laws and regulations.

8. Limitation of Liability

To the maximum extent permitted by law, Dassale Agency Corp and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

In no event shall our total liability to you for all claims exceed the amount paid by you to us for the Services during the twelve (12) months preceding the event giving rise to the liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dassale Agency Corp and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms.

10. Term and Termination

The term of your agreement with us will be as specified in your service agreement. Either party may terminate the agreement as provided in the service agreement.

Upon termination, all rights and licenses granted to you under these Terms will immediately cease, and you must cease all use of the Services.

Any provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to mediation before resorting to arbitration or litigation.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

15. Entire Agreement

These Terms, together with your service agreement, constitute the entire agreement between you and Dassale Agency Corp regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.
